Ellen B. Kulka, the former General Counsel of the Resolution
Trust Corporation (RTC), specializes in corporate, securities
and banking law. She represents both public and private companies
in a wide range of industries, including software, health care
and communications. Kulka has particular expertise in mergers
and acquisitions and in leveraged and management buyouts. She
has served as bankruptcy trustee and as court-appointed monitor.
Experienced in crisis management and mediation, Kulka works
extensively with closely held and family businesses, particularly
in the area of conflict resolution. Kulka
served in the Federal government, first at the Office of Thrift
Supervision and later at the RTC. As a result, she has gained
significant experience and insight in dealing with government
agencies. During her tenure as General Counsel of the RTC,
the agency recovered over a billion dollars in settlements
and judgments, and disposed of dozens of savings and loans
and hundreds of millions of dollars in assets. Government
service followed 15 years with a major New Jersey law firm,
where Kulka headed the corporate law department
Kulka has been active in charitable, civic
and law-related organizations. She is a member of the Board
of Directors of the Corporate Section of the New Jersey Bar.
She has served as a member of a Supreme Court Committee and
as a state Bar Examiner. Kulka is a member of the board of
a health-related foundation and has been Chairman and Member
of the Zoning Board of Adjustment in Livingston, New Jersey.
First in her class at Rutgers University
School of Law School, Newark, Kulka is a former president
of its Alumni Association. She served as an assistant professor
at the Rutgers Graduate School of Management. She earned her
undergraduate degree at Barnard College.
