Corporate and Business Services
Kraemer Burns provides a broad range of corporate and business services, counseling clients, negotiating on their behalf, and preparing and reviewing documents for corporate, commercial and financial transactions.

We function as a law department for some businesses, as adjuncts to in-house legal staff for others, and as New Jersey counsel for corporations and other law firms.

Acquisitions and Dispositions

We regularly represent clients in transactions involving the purchase or sale of businesses. The combined expertise of Kraemer Burns partners in general corporate, financial, tax, employment law, real estate and estate planning is particularly useful in assisting clients to form, merge, expand and sell their businesses. The firm recently represented a computer industry client whose shares were publicly traded in a merger into a large British corporation whose shares are traded on the London Stock Exchange.

Business Formation and Representation

Kraemer Burns has extensive experience forming, merging and reorganizing corporations, partnerships, limited liability companies and other entities. We regularly counsel business entities, including large national and international companies as well as closely held and family businesses on a broad range of issues.

Contracts

In keeping with Kraemer Burns philosophy, we counsel our business clients on the most practical and cost-effective ways to avoid litigation wherever possible. A key element in that preventive approach is the careful preparation and review of contracts before they are signed. For example, Kraemer Burns is frequently asked to negotiate contracts for client purchases of major equipment and services, such as the computer hardware and software packages.

Bank Loans. We represent borrowers as well as banks in negotiating and closing bank loans secured and unsecured term loans, lines of credit and revolving loans.
Interstate Lending Transactions. Out-of-state law firms call on Kraemer Burns to render local counsel opinions on major interstate lending transactions.
Special counsel for municipalities and developers in complex land use matters
Creditors' Rights. As an adjunct to corporate finance, Kraemer Burns partners handle workouts and represent creditors in bankruptcy proceedings.
Leveraged Buyouts. Kraemer Burns has structured numerous leveraged buyouts, including management leveraged buyouts.

Employment

Kraemer Burns partners have successfully tried many employment related cases, including discrimination claims, wrongful discharge and contract cases, both in state and federal courts. They have also defended employers before state and federal administrative agencies.

Although the firm has a solid track record in defending employment-related cases, the emphasis at Kraemer Burns is on prevention - prompt and responsive handling of day-to-day situations that, if not handled properly, can develop into far more serious problems. Kraemer Burns assists employers in successfully handling employee issues to minimize employee complaints and litigation. We also work closely with our clients' human resource managers to develop the companies' personnel policies.

Negotiation of employment and non-competition agreements are another mainstay of our employment law practice. We also maintain a substantial practice in structuring management and sales employment and incentive compensation arrangements. Kraemer Burns considers contract and employment law counseling to be among the firm's most cost-effective services because it can help clients avoid litigation.

Health Care

Kraemer Burns lawyers have represented hospitals, home health and mental health agencies, health maintenance organizations and medical groups on an ongoing basis. We also have substantial experience representing pharmaceutical companies and laboratories in a broad range of matters. Our practice has included the formation and sale of HMO's, acquisition of laboratories, hospital and home health agencies, mergers and acquisitions, and purchases and sales of medical practices.

Mediation and Arbitration

Our firm includes experienced mediators and arbitrators. Some of our attorneys have been appointed by the New Jersey courts to act as mediators, arbitrators, and fiscal agents, or to be fact finders assisting the court. Our attorneys have been chosen to mediate cases by attorneys in other law firms. One Kraemer Burns attorney is frequently called by courts and counsel to mediate challenging commercial matters and has settled over 90 per cent of these difficult cases.

Securities

Kraemer Burns provides advice and representation to companies in public and private offerings. Counseling on requirements under Federal and state securities laws and assistance in complying with filing requirements is also available. In addition our lawyers represent broker/dealers and other securities professionals in compliance matters and in litigation.
